Terms and Conditions

Last updated: September 10, 2026

These Terms and Conditions (“Terms”) govern access to and use of Portal AI (the “Service”), operated by Blue Harbour (“Blue Harbour,” “we,” “us,” or “our”).

[Blue Harbour’s legal entity has not yet been formally incorporated. These Terms are issued on a pre-incorporation basis.]

By creating an account, accessing the dashboard, or otherwise using the Service, you agree to these Terms on behalf of the institution you represent. If you do not agree, do not use the Service.

1. Scope and Relationship to the Privacy Policy

These Terms apply to any institution, and any individual acting on an institution’s behalf (“you” or the “Institution”), that creates an account for or otherwise uses Portal AI.

Portal AI is an AI-powered natural-language data querying service that integrates with an Institution’s portal (a “Portal”). Portal AI processes and interprets natural-language queries, translates them into structured data queries, executes those queries against the Portal’s underlying database, and returns matching records to the Portal.

Our Privacy Policydescribes how we collect, use, and disclose information in connection with the Service, and is incorporated into these Terms by reference. As described there, Blue Harbour acts as a service provider with respect to data contained in an Institution’s own database and search queries — that data belongs to and is controlled by the Institution, not by Blue Harbour.

Portal AI accesses the Institution’s connected database on a read-only basis. Blue Harbour queries that database to answer natural-language queries submitted through the Portal; it does not write to, modify, or delete any record it contains.

2. Eligibility and Account Registration

  • Accounts may only be created using a verified organizational email address. Free-mail domains are not accepted.
  • You represent that you are authorized to act on behalf of the Institution you are registering, and that the information you provide during signup (institution name, institution type, portal type, country, and organizational email) is accurate.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • Portal type is currently limited to “University Admission Portal.” Other portal types shown as “Coming soon” are not yet available and are not covered by these Terms.

3. The API Key

  • An API key is generated automatically upon completion of signup. The key is functionally inert until the Institution’s Schema mapping and Database Connection are both configured and verified, as described in the dashboard.
  • The raw API key value is displayed once, at generation. After that point, only a hash is retrievable. If lost, the Institution must rotate the key rather than recover it.
  • You are responsible for safeguarding your API key. You must not embed it in any client-reachable code, expose it to end users of your own Portal, or share it outside your own organization. Blue Harbour is not liable for unauthorized use of the Service resulting from a compromised API key that was not promptly reported and rotated.
  • Rotating a key immediately deactivates the prior key.

4. Institution Responsibilities

The Institution is solely responsible for:

  • The accuracy and legality of any database, records, or fields it connects to the Service;
  • Ensuring it has all necessary rights, consents, and legal basis under applicable law to allow Blue Harbour to process the data contained in its database and search queries as described in the Privacy Policy;
  • Its own privacy obligations toward applicants, students, and other individuals whose information appears in its records — the Service does not satisfy, and is not a substitute for, those obligations;
  • Configuring its Schema and Academic Configuration accurately on the dashboard; and
  • Reviewing and independently verifying any match result before relying on it for an admissions decision (see Section 6).

5. Integration Components (SDK)

  • Blue Harbour makes available, via download or code preview from the dashboard, certain proxy route templates, UI components, and configuration files (collectively, the “Integration Components”) intended to connect the Institution’s own Portal to the Service.
  • Blue Harbour grants the Institution a limited, non-exclusive, non-transferable license to use, copy, and modify the Integration Components solely for the purpose of integrating the Institution’s own Portal with the Service.
  • The Institution owns any modifications it makes to the Integration Components after download, but Blue Harbour retains all rights in the Integration Components as originally provided and in the Service itself.
  • The Institution may not redistribute, sublicense, or resell the Integration Components to any third party outside its own organization.

6. Disclaimer of Match Accuracy

The Service uses AI-based natural-language processing and is provided on a best-efforts basis. Blue Harbour does not guarantee the accuracy, completeness, or reliability of any interpreted query or match result.

  • Match results (“Yes”/“No” outcomes) reflect an automated interpretation of a natural-language query against the Institution’s own data, using the Institution’s own Schema. Errors can occur at any stage of that pipeline.
  • The Service is a decision-support tool, not a decision-making authority. The Institution remains solely responsible for any admissions decision it makes, and must not treat a match result as a substitute for its own review.
  • Blue Harbour is not responsible for any consequence arising from an admissions decision made in reliance on a match result.

7. Fees and Payment

  • Portal AI is a paid service. Use of the Service beyond any explicitly stated free or trial period requires a current, active subscription or fee arrangement with Blue Harbour.
  • Payments are processed through Stripe. By providing payment information, you agree to Stripe’s applicable terms in addition to these Terms.
  • Fees are non-refundable except as required by law or as otherwise expressly stated in a separate written agreement between the Institution and Blue Harbour.

8. Acceptable Use

You agree not to:

  • Use the Service to query, store, or transmit data you are not lawfully permitted to hold or process;
  • Attempt to reverse-engineer, decompile, or extract Blue Harbour’s proprietary matching algorithm or natural-language processing methods;
  • Circumvent rate limits, authentication, or other technical restrictions on the Service;
  • Use the Service in a manner that could disable, overburden, or impair its operation for other Institutions; or
  • Use the Service for any portal type other than the Portal type(s) currently supported.

9. Intellectual Property

Blue Harbour retains all right, title, and interest in and to the Service, including the Portal AI algorithm and improvements thereto. These Terms do not grant the Institution any ownership interest in the Service, apart from the limited license to the Integration Components described in Section 5.

10. Term, Suspension, and Termination

  • These Terms remain in effect for as long as the Institution maintains an active account.
  • Blue Harbour may suspend or terminate an account for breach of these Terms, non-payment, or suspected misuse of the Service, with notice where reasonably practicable.
  • The Institution may delete its account at any time through the dashboard’s Settings section. Account deletion is a one-way action.
  • Sections 5 (as to license survival for the Institution’s already-downloaded modifications), 6, 9, 11, and 13 survive termination.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BLUE HARBOUR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Consistent with Section 1, Blue Harbour’s access to the Institution’s connected database is read-only; nothing in this Section or elsewhere in these Terms should be read as a warranty regarding the Institution’s own database, infrastructure, or systems.

12. Limitation of Liability

[Placeholder — basic starting language only; revisit and tailor before this document is finalized.]

To the maximum extent permitted by law, Blue Harbour’s total liability arising out of or relating to these Terms or the Service will not exceed the amount paid by the Institution to Blue Harbour in the twelve (12) months preceding the event giving rise to the claim, and Blue Harbour will not be liable for any indirect, incidental, or consequential damages.

13. Governing Law

Blue Harbour has not yet been formally incorporated, and a governing law and jurisdiction for these Terms have not yet been determined. This section will be updated once that is finalized.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date above and, where appropriate, provide additional notice to active Institutions.

15. General

  • Entire Agreement. These Terms, together with the Privacy Policy and any separate written agreement between the Institution and Blue Harbour, constitute the entire agreement between the parties regarding the Service.
  • Assignment.The Institution may not assign these Terms without Blue Harbour’s prior written consent. Blue Harbour may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • No Waiver. Failure to enforce any provision of these Terms is not a waiver of that provision.
